Services Agreement & Event Policy

SERVICES AGREEMENT

This Mill on Main Services Agreement is a contract between Mill on Main (“Owner”) and the person booking Events in the Space (“Host”). This Agreement describes the terms and conditions that apply to your use of Mill on Main for your Events, governs your and your Attendees use of the Space, and establishes the obligations owed between you and Mill on Main, and between you and Attendees at your Events.

Limited Licenses for Bookings. When you, as Host of an Event, book the Space, you are provided a license to enter, occupy, and use the Space only as described in the Booking and confirmed by the Owner of Mill on Main, subject to this Services Agreement and any Booking Agreement. A Booking does not provide you a lease or access or use of the Space beyond the specified time and Description. The Owner retains the right to re-enter the Space in accordance with your agreement with them.

Bookings. Bookings are created when the Owner accepts your booking request. Bookings are a legally binding agreement between you and the Owner and are subject to any additional terms and conditions that the Owner has outlined via messaging, any supplemental Booking Agreements, and other terms set forth by the Owner, which will be provided to you prior to confirmation of a Booking. A Booking creates a contractual relationship between users. Upon Booking a Space, a Host is granted a limited, temporary, revocable license to use a Space, in the manner, for the time, and subject to all restrictions provided, subject to this Agreement, and as confirmed through the Booking Agreement. The scope of the use—including times, specific fees, and other additional terms or limitations—may also be included in or supplemented by a separate Booking Agreement that incorporates the terms and conditions of this Agreement and referenced policies. An Event or Booking may be terminated by the Owner at any time and without advance notice or repayment of any Payments to you if the Owner determines that (i) you have materially misrepresented the proposed Event or Booking; (ii) the Event as actually planned or undertaken is not in compliance with the originally proposed Booking or the terms of this Services Agreement; (iii) permitting the Booking to continue would endanger the safety or security of the Space or the Owner; or (iv) the Booking creates an unreasonable noise, odor, nuisance, or otherwise disturbs the quiet enjoyment of the Space or the Owner’s ability to conduct the day-to-day business operations of the Space.

Conduct and Fees. You agree, as Host, to comply with any Booking Agreements throughout the Booking and use the Space only as permitted or agreed upon and consistent with the Description included with your Booking request and assure that any Attendees do the same. During your Booking, you are responsible for (a) the behavior and acts of any Attendees, Service Providers, Vendors, or others that access the Space, (b) ensuring that the use does not exceed any limitations identified in the Booking, (c) coordinating the timely setup and breakdown of your Event, and (d) complying with applicable Laws including acquiring any required licenses or permits for your Event, hiring security personnel for larger Events, COVID legal mandates, or limiting noise to certain times of the day. You are responsible for and accept all liability for any damage done to the Space or Amenities during your Event by Attendees, Service Providers, or Vendors whether intentional or not, for your failure to comply with applicable Laws, and for any Fines you incur. In addition, you agree to not hold the Owner liable and to indemnify them for any claims or damages that are a direct result of negligence or illegal activity by you, your Attendees, Service Providers, or Vendors. You agree to return the Space to the Owner in substantially the condition as provided to you or as otherwise agreed in any Booking Agreement and consistent with the Event Policy, and to promptly notify the Owner of any damage done to the Space or Amenities. All Fees owed by Hosts are subject to the Fees Overview and Cancellation and Refund Policy.

Attendees. You are responsible for your own acts and omissions as well as the acts and omissions of Invitees or other Individuals to whom you provide access to the Space (collectively referred to as “Attendees”), excluding the Mill on Main Owner and Invitees, if applicable. Hosts are required to ensure that Attendees meet any requirements set by the Owner for a Space or Event and are made aware of and agree to any terms, conditions, rules, policies, or restrictions set by the Owner. You agree that you are responsible for ensuring that all minors are accompanied by an adult responsible for them and that you are legally authorized to act on behalf of any minor Attendee.

Holdovers and Additional Fees. You agree to leave the Space no later than the end time of your Event or at such other time as mutually agreed upon between you and the Owner. The space must be vacated and all items brought into the space must be removed by the end time of your Booking reservation. If you stay past the agreed upon end time without the Owner’s permission, you no longer have a license to use or stay in the Space, and the Owner is entitled to use lawful means to force you to leave the Space. Additionally, you agree to pay to the Owner an overtime charge (“Overtime Charge”) as well as all applicable Fees, Taxes, and other expenses incurred by the Owner. Overtime Charges may be calculated based on your exceeding the time (for example, a calculated hourly rate billed in 30-minute increments). You may also be charged for other costs associated with your exceeding the permitted usage of the Booking (for example, exceeding the number of Event Attendees) (“Over Capacity Fees”). The Owner may charge an additional Service Fee for any Overtime Charges, Damages, or any other charges assessed from using the Space. If the Owner determines on reasonable grounds that they are entitled to additional fees, charges, or damages in accordance with this Services Agreement, the applicable policy set by the Owner, and/or the terms of the Booking Agreement between Owner and Host mentioned, the Owner will be entitled to collect any such sums from you required to satisfy the outstanding obligation. The Owner reserves the right to otherwise collect payment from you and pursue any remedies available to the Owner in this regard in situations in which you are responsible for Fees, Charges, or Damages, including, but not limited to, in relation to any payment requests made by the Owner.

Using Vendor Services. Vendors are independent third-party contractors and are not affiliated with, or under the control of the Owner. The Owner may be able to help you book Vendors directly. You understand that Vendor Services are provided by the Host or the Vendors directly, and not the Owner. Subject to applicable law, the Owner is not responsible for and disclaims all responsibility for and liability resulting from Vendors’ actions or failure to act, for the nature or quality of any Vendor Services, and for any loss or injury you or others sustain arising out of or related to Vendor Services. You acknowledge that the Owner may be paid compensation by one or more Vendors in connection with a Booking of Vendor Services.

Alcoholic Beverages. Mill on Main does not produce or sell alcoholic beverages. By using this Space for Services related to alcoholic beverages, you acknowledge, affirm, and represent to the Owner that you are over the Legal Age required to consume alcoholic beverages. We make every effort to ensure that alcoholic beverages are not offered, sold, served, or delivered to anyone who is under the Legal Age. By using this Space, you are acknowledging that the person receiving any delivery of alcoholic beverages from a Licensee is over the Legal Age. You also agree that any alcohol purchased from a Licensee is intended for personal consumption and not for resale. If you cannot make these affirmations and representations or you do not agree with all of these conditions of use, you may not use the Space or its Services. If you misrepresent your age in order to obtain or provide alcohol to a person under the Legal Age, we will report this to the appropriate authorities for prosecution to the fullest extent allowable by law. If we are held liable for any reason based on a misrepresentation of your age, you agree to indemnify us and/or reimburse us for all costs, expenses (including Legal Fees) and Damages we and they suffer or incur.

Cancellation and Refunds. All Bookings are subject to a grace period, which provides a refund for Bookings canceled within twenty-four (24) hours from receipt of a Booking confirmation, so long as the cancellation is not forty-eight (48) hours prior to an Event start time. Cancellations and any refunds that may be available to you are subject to our Fees Overview and Cancellation and Refund Policy. To cancel a Booking, you must submit a request to cancel by submitting a message via the Contact form or by emailing info@millonmain.com; cancellation requests may not be submitted through any other method, including messages, phone calls, chats, or emails. In the event of an authorized cancellation of a confirmed Booking, or if the Owner cancels a confirmed Booking at any time prior to an Event, the Owner may, in its sole discretion, issue (a) a partial or full refund; or (b) a dollar-for-dollar credit (“Mill on Main Credit”) that may be applied towards a future Booking.

Event Policy

At Mill on Main we understand that many of our Hosts (those who book the Space) set up Bookings in order to host Events, and it is the Owner’s goal to allow you to do so while at the same time ensuring the safety of all Attendees and avoiding damage to the Mill on Main (the “Owner’s”) property. The Event Policy is a non-exhaustive list intended to help give assurance to all our users that Events will be run in a safe, legal, and respectful manner.

This Event Policy is part of, and uses words and phrases defined in, the Mill on Main Services Agreement. In the event of any express conflict between the terms of the Mill on Main Services Agreement and this Event Policy, the terms of this Event Policy shall prevail. If you have any questions about the Event Policy or if you believe that a user has violated this Event Policy, please contact us.

You must agree to this Event Policy, as part of the Mill on Main Services Agreement, to use the Space and Services. Please read the Event Policy carefully and only use the Space or Services if you agree to abide by it.

BOOKING A SPACE FOR An EVENT

If a Host plans to hold an Event at the Space, they must disclose details in their Booking request relating to the activity being planned, including, without limitation, details on any alcohol being served at the Event. This allows the Owner to familiarize themselves with the Event concept, including confirming compliance with this Event Policy. The Owner maintains the right to review Booking requests at any time to confirm compliance with this Event Policy. If the Owner identifies any potential non-compliance with this Event Policy, or requires more information to determine compliance, it shall have the right to request additional details from the Host and/or to suspend or cancel Bookings.

Any proposed changes with respect to the previously disclosed details of an Event must be submitted for approval by the Owner at least 48 hours before the Event with notice to the Owner at info@millonmain.com.

Events at the Space shall adhere to the guidelines for hours promulgated by the Owner and in any event must comply with applicable law. All Events where alcohol is served, tickets are distributed, attendance is by open invitation, or where there is a charge for entry must comply with applicable law and Host requirements, including the acquisition by Host of any required permits. All Bookings must span the entire length of the Event and must include additional time needed for setup and cleanup.

DECORATIONS AND COSMETIC ALTERATIONS

We understand that the right decor can be an integral part of an Event. Since the Owner will not provide decor unless noted in the Booking or arranged through an Add-On, the Host must bring any decorations they may need for their Event or to secure rented equipment from an outside company. When Booking a Space for an Event, it is the Host’s obligation to independently determine what the Space is appropriate for and that it can support the planned Event and to plan and install any decorations needed for the Event. Any decorations used for an Event may not be affixed (including by means of nails, staple guns, push pins, or other potentially damaging fasteners) to any surface of the Space and no physical alterations of the Space (including painting, erecting of permanent or semi-permanent alterations, or the installation of any fixtures) may be done without the express written consent of the Owner. In addition, the use of glitter, confetti, and any other like materials are prohibited. To ensure safety and to guard against property damage, and/or personal injury, decorations may not obstruct entrances and exits and must allow for emergency egress at all times. Decorations cannot cover emergency signs, fire lanes, or exits and must be constructed of non-flammable materials.

ELECTRICAL AND ELECTRONIC EQUIPMENT USE

All electrical or electronic equipment of any kind or nature installed or used at the Space shall comply fully with all rules, regulations, requirements, or recommendations of the Owner and the public authorities having jurisdiction over the Space. The Host shall be liable for any damage or injury caused by any electrical or electronic equipment installed or used by them.

SETUP/CLEANUP AND GARBAGE DISPOSAL

Setup and Cleanup – At the conclusion of the Event, the Host shall be responsible for removing all decorations, material, equipment, and debris and for repairing any damage to the Space arising out of the Event. Prior to the end of the time scheduled for the Event, the Host shall inspect the Space to confirm their compliance with this Event Policy. Failure to do so may result in liability for alleged damage claims.

Garbage/Recycling – Garbage and recycling are to be placed inside the designated and appropriate garbage and recycling containers. Hosts must ensure that the garbage is placed in plastic bags and securely tied before placing it in the trash bins, must break down any boxes, and rinse out recyclable containers prior to placing them in recycling bins. If trash will not fit inside the designated containers, it shall be the Host’s responsibility to properly dispose of such excess trash. Any trash left behind that will not fit in the available containers may result in additional charges to the Host. No volatile or highly inflammable materials shall be deposited in the chutes, trash rooms, or trash containers. The Host must also follow additional garbage disposal requirements provided by the Owner.

BUILDING DAMAGE AND CLEANING COSTS

Building Damage and Cleaning Costs – Within 72 hours after the end of a Booking, the Owner shall notify the Host if they find any damage to the Space or if they have incurred (or will incur) additional cleanup costs because of a Host or Attendees’ violation of these policies. This includes damage caused by Attendees and vendors. Hosts acknowledge that they shall be liable for any such costs, which shall be deemed an Additional Fee, as detailed elsewhere in this Mill on Main Services Agreement.

SMOKING AND DRUG USE

Smoking and drug use are strictly prohibited at the Space (including through the use of e-cigarettes and vaping devices). Hosts acknowledge that they may be liable for fines and/or fees for damages as a result of any such violation, including fees or fines imposed by the Owner, which costs shall be deemed an Additional Fee, as detailed elsewhere in this Mill on Main Services Agreement.

ALCOHOL USE

If alcohol is to be served at an Event, this must be disclosed in the Booking request, and the Host requesting the Booking must be of legal drinking age in the jurisdiction where the event will be held (21 years of age or older). By submitting a Booking request for an Event where alcohol is to be served, Host shall be deemed to have acknowledged, represented, and affirmed that they are of legal drinking age in the jurisdiction in which the Event takes place. Hosts agree that serving of alcohol is in compliance with the appropriate governmental liquor authority.

All alcohol served at an Event shall be for personal consumption and not for resale. Hosts agree to take reasonable steps to enforce and comply with local, State, and Federal laws and regulations governing the use of alcohol. Neither Hosts, nor any of their Vendors, shall provide alcohol to persons under the legal drinking age in the jurisdiction of the Event, and Hosts shall confirm the legal age of consumption for all Attendees and follow the rules and regulations of local authorities and guidelines. If local regulations require the serving of food or other non-alcoholic beverages at any Event serving alcohol, Hosts agree to fully comply with any such requirements.

In addition to the rules set forth in this Event Policy, Hosts acknowledge and agree to abide by all provisions of the Mill on Main Services Agreement relating to alcoholic beverages.

We reserve the right to report any violations of this Event Policy to the appropriate authorities for prosecution to the fullest extent allowable by law. Each Host hereby agrees to indemnify and/or reimburse the Mill on Main Owner for all costs, expenses (including Legal Fees), and Damages we may suffer or incur as a result of any violation by you of this Event Policy.

CONDUCT

For any Event, you must respect the rights of the occupants of the Building and its neighbors, and you agree not to disturb any of them unreasonably. Any abusive, disorderly, violent, or harassing conduct by a Host or an Attendee, including but not limited to foul language, discriminatory, or sexually explicit language made toward others is prohibited. Likewise, vandalism of any kind by a Host or an Attendee on or to the Space is prohibited, and the Owner reserves the right to pursue or cooperate in any legal action related to the misconduct or vandalism surrounding a Booking.

SAFETY STANDARDS

Safety is of the utmost concern at any Event. As such, the Host shall, at all times, conduct activities in a safe and careful manner, with full regard to public safety, and shall observe and abide by all relevant applicable laws (including but not limited to the Americans with Disabilities Act), ordinances, rules, regulations, and requests by duly authorized governmental agencies having jurisdiction over the Space. In case of fire, smoke, or suspected criminal activity involving imminent harm, you should immediately call 911 and thereafter also alert the Owner.

LOST OR STOLEN PROPERTY

The Mill on Main Owner shall not be responsible for losses by the Host or any Attendees due to theft, damage to, or disappearance of equipment or other personal property, it being specifically acknowledged that such equipment and property is not under the care, custody, or control of Mill on Main. The Owner is under no obligation to provide any security measures for the Event, this being the Host’s obligation. We recommend that Hosts consider obtaining personal property insurance to protect against any damage to or loss of their personal items.

VIOLATIONS OF THE EVENT POLICY

We take violations of the Event Policy seriously and have a zero-tolerance policy with respect to violations. MILL ON MAIN MAY TAKE LEGAL ACTION AGAINST HOSTS THAT ATTEMPT TO CIRCUMVENT THIS EVENT POLICY. In the event of ongoing or serious violations, we reserve the right to take all action which we deem necessary, including canceling Bookings without refund to the Host, assessing fines, and taking any other actions permitted or required by law, including cooperating with local authorities in enforcement and prosecution matters. We may also moderate, remove, or edit any Content that violates this Event Policy or if we believe it adversely affects the integrity of Mill on Main or other users.

This Event Policy applies to the use of the Space for a planned gathering, evening celebration, or get together, including, without limitation, any event where alcohol is provided, tickets are distributed, attendance is by open invitation, or where there is a charge for entry. Any such events are referred to as an “Event” and all Hosts must comply and enforce this Event Policy for all Events. A non-exhaustive list of example gathering occasions that may be classified as Events (as determined solely by the Owner of Mill on Main) include anniversaries, art shows, audio recordings, baby showers, birthday celebrations, book signings, bridal showers, brunch, celebrations of life, ceremonies, cocktail parties, concerts, cooking classes, dance classes, engagement celebrations, film viewings, fitness classes, dinners, fashion shows, focus groups, food events, formal events, fundraisers, holiday parties, launch events, listening performances, meditation groups, memorial services, music release events, networking, parties, receptions, rehearsals, retreats, reunions, showcases, strategy sessions, tastings, weddings, wedding receptions, pop-up shops, etc.

COMPLIANCE WITH APPLICABLE LAWS

Hosts shall be responsible, at their sole cost and expense, for making sure that any Events held in the Space comply with all applicable laws, including zoning, municipal, and other laws in effect and applicable to the Space. This includes (i) determining if any event permit is required and, if applicable, obtaining such permit prior to the Event, (ii) complying with applicable laws with respect to signage and advertising for the Event (and all signage must be approved by Mill on Main Owner at least 48 hours prior to the Event), and (iii) if food or alcohol are being served at your Event, ensuring that you comply with all applicable requirements pertaining thereto.

Damage and Cleaning Fees

  1. Damages to Spaces. Hosts are responsible for any damages that a Host or their Attendees cause to a Space or any personal property at a Space. Hosts shall report any damages along with relevant documentation (“Damages Claim”) to the Mill on Main team within 72 hours of the Event end time. Mill on Main will then notify the Hosts of the impending Damages Claim charge.
  2. Cleaning Fees. While Mill on Main may charge a Cleaning Fee and is responsible for basic upkeep and removal of trash, Hosts are encouraged to tidy up and be respectful of the space and personal belongings during the booking. Cleaning Fees may be assessed regardless of the wear and tear placed on a Space (or the personal property within it) during an Event.

INDEMNITY AND RELEASE

You acknowledge that the indemnity provisions set forth in this Mill on Main Services Agreement shall apply to any Event and any violation of this Event Policy.

The Host further acknowledges and understands that, to the fullest extent allowed by law, they are using the Space at their own risk. The Owner acknowledges and understands that, to the fullest extent allowed by law, they are allowing for the use of their Space at their own risk. Except as otherwise provided by law, Mill on Main Owner shall not be liable, and you the Host expressly waive any claim of liability for personal or property injury or damages, which occur to you or any Attendee at the Space and/or during an Event. This waiver includes, but is not limited to any loss, damage, or destruction of the personal property of you or any Attendees and is intended to be a complete release of any responsibility for personal injury and/or property damage sustained by you or any Attendees resulting from use of the Space.

EVENT LIABILITY INSURANCE

Mill on Main maintains primary liability insurance with the proper endorsements that provide coverage for the risks associated with the planned activity. It is recommended that Hosts maintain liability insurance applicable to their Event. Where Mill on Main accepts a booking from an uninsured Host, Mill on Main is indemnified against all liabilities, costs, expenses, damages, and losses (including but not limited to any direct, indirect or consequential losses, loss of profit, loss of reputation, and all interest, penalties, and legal costs (calculated on a full indemnity basis) and all other reasonable professional costs and expenses) suffered or incurred by Mill on Main arising out of or in connection with accepting a booking from an uninsured Host. If required by Mill on Main, the Host shall provide proof of valid event insurance of the type and with the limits as designated by Mill on Main. If proof of insurance is required, you must provide it to the Owner by the communicated deadline or risk the Booking being canceled by the Owner without refund to the Host.

COVID-19 SAFETY PROTOCOLS

When planning an Event, Hosts must comply with all rules, guidelines, and applicable law, including local mandates, pertaining to COVID-19 public health mandates. This includes, but is not limited to, abiding by applicable density requirements, social distancing requirements, limitations on public gatherings, wearing of masks, the posting of signs and messages for Attendees, and other protocols set by the key health protection agency and local authorized bodies in the jurisdiction where the Space is located. It is the Host’s responsibility to determine the applicable protocols and implement them accordingly.

Cancellation and Refund Policy

This Cancellation and Refund Policy (“Cancellation Policy”) is incorporated into the Mill on Main Services Agreement applicable to use of the Services and the Space. Please read this policy carefully. You may not use the Services if you do not agree to this Cancellation and Refund Policy

Mill on Main is designed to help Hosts efficiently and conveniently complete Bookings. Every Booking is Mill on Main’s commitment to make a Space available to a Host. When Hosts cancel Bookings, Mill on Main’s ability to Book that Space during that time becomes increasingly difficult because other interested Hosts may have already made other plans. When Mill on Main cancels Bookings, Hosts’ events and plans can be severely impacted and may require intensive logistical support from Mill on Main. Nonetheless, plans may change, requiring Hosts or Mill on Main to cancel Bookings on occasion.

This Mill on Main Cancellation Policy covers all cancellations and refunds made. Both Hosts and Mill on Main are subject to and must comply with this Cancellation Policy when cancelling a Booking.

We reserve the right to amend this Cancellation Policy for any reason and at any time by posting an updated version to our website as provided in this Mill on Main Services Agreement. In the event of conflict between this Cancellation policy and the Mill on Main Services Agreement, the Mill on Main Services Agreement takes precedence. The only terms applicable to any Cancellation are those then currently in effect at the time the booking is made, or at the time of any subsequent amendments to a booking.

Please note, All Bookings are subject to Mill on Main’s Grace Period policy which provides a full refund for Bookings cancelled within 24 hours from receipt of a Booking Confirmation but no later than 48 hours prior to the Event start time i.e. Bookings confirmed less than 48 hours prior to Event start time are not subject to this Grace Period. Mill on Main shall have final say in any dispute between Mill on Main and Hosts regarding the application of cancellation policies as outlined in Section 4 of the Mill on Main Services Agreement.

Hosts may cancel their Booking until 7 days before the event start time and will receive a full refund (including all Fees) of their Booking Price. Hosts may cancel their Booking between 7 days and 24 hours before the event start time and receive a 50% refund (excluding Fees) of their Booking Price. Booking cancellations submitted less than 24 hours before the Event start time are not refundable. See Additional Terms section below for more information.

We shall have the right, in our sole and absolute discretion, to cancel a Booking at any time pursuant to the Cancellation Policy.

Additional Terms

Cancellation Confirmation

A Booking is only officially cancelled once the Host has received confirmation of the cancellation from Mill on Main via email communication.

Calculating Cancellation Deadlines

All cancellation periods are calculated based upon local time for the Space.

Cancellations by Hosts

Any Host-initiated cancellations will be fully refunded to the Host (including any Fees paid). The Host or Vendor cancelling the Booking will be responsible for losses incurred by Mill on Main or the Host associated with any cancellation, and all scheduled payouts for that Booking will be cancelled. In addition, Mill on Main may issue Fines to Hosts and Vendors for cancellations. Mill on Main may (i) deduct or debit any Fines from amounts that would otherwise be payable, or (ii) invoice such Fines to be paid within seven (7) days.

Mill on Main may, but is not obligated to, waive costs, expenses and Fines for Host-initiated cancellations under the following circumstances:

  • Mill on Main determines that a Booking was accidentally accepted by a Host, so long as the Host cancelled within 2 hours of confirmation;
  • A Host provides false or misleading information in a Booking request that materially affects the Booking or Event;
  • A Host uses, or intends to use, a Space in a manner inconsistent or incompatible with the Space Description, the Booking Agreement, or other limitations agreed upon between the Host and Mill on Main;
  • Inappropriate or illegal activity taking place during an Event;
  • Mill on Main and Host mutually deciding to cancel the Booking in accordance with this Cancellation Policy; or
  • Any excused cancellations.

Excused Cancellations

Mill on Main may allow a Host to cancel a confirmed Booking due to extenuating circumstances (e.g., conditions that arise after a Booking has been confirmed and with minimal notice prior to the scheduled Event) (an “Excused Cancellation”). Mill on Main may require Hosts to provide evidence to support an Excused Cancellation. Where approved, Fees will be refunded in full; or Mill on Main Credits may be issued to the Host (where available) and no payout will be sent to the Host without Cancellation Fees or Fines. The following circumstances may be considered as grounds for an Excused Cancellation:

  • Unexpected death or serious illness of Mill on Main, Host, or immediate family member of either;
  • Serious injury that directly restricts a Host’s ability to travel or Mill on Main’s ability to provide the Booked Space;
  • Significant natural disasters or severe weather incidents triggering a state of emergency that directly impact use of a Space or the Host’s ability to travel to the Space;
  • Urgent travel restrictions or prohibitions, or severe security advisories issued after the time of Booking, by an appropriate government office or agency;
  • Severe property damage or unforeseen maintenance issues that directly impact the safe use of the Space; or
  • Legal, municipality, or utility injunction or order that directly restricts use of or access to a Space excluding any judgments related to the unlawful listing of a Space for a given use by a Host.

Mill on Main-Initiated Cancellations

Mill on Main may decide, in its sole discretion, that it is necessary or appropriate to cancel a confirmed Booking. Mill on Main may cancel a Booking at any time prior to the Event start time and issue a full or partial refund or a Mill on Main Credit to a Host. When Mill on Main initiates a cancellation, any refunds or payouts will vary depending on the circumstances that prompted the cancellation. Neither Mill on Main nor any of the other parties to the cancelled Booking shall have any liability or obligation for any such Mill on Main-initiated cancellations. The following are circumstances in which Mill on Main may initiate a cancellation:

  • An Excused Cancellation;
  • Any actual or potential illegal or unauthorized activity;
  • Risk of harm or safety concerns;
  • Failure to provide proof of insurance, including event or film production insurance, when requested by Mill on Main; or
  • Any other reason as reasonably determined by Mill on Main.

How to Cancel a Booking

To cancel a Booking, submit a request to Mill on Main via the Contact page. Cancellation requests cannot be submitted through phone calls or texts. For calculating refunds, submitted cancellation will be confirmed upon proper submission of a cancellation request to Mill on Main. After submission, Mill on Main may allow or require up to 48 hours to finalize the cancellation.

Mill on Main Credit

In certain situations, including Excused Cancellations, Mill on Main-Initiated Cancellations, and the Policy for Cancellations Due to COVID-19, a Host may be issued a dollar-for-dollar credit that may be applied towards a future Booking. Hosts may opt to receive a Mill on Main Credit as a substitute for any amounts that would otherwise have been owed to them as a refund.

Mill on Main Credits can be used for Bookings, Vendor Services, Host Services, or Additional Fees including overtime or dispute claims. Hosts will be compensated for completed Bookings made with Mill on Main Credits under the same terms as all other Bookings. Mill on Main Credits may not be exchanged for dollars after they have been issued to a Host.

Rescheduled Bookings

When approved by Mill on Main, a Host or the Owner may have an opportunity to reschedule that Booking. Any rescheduled Bookings must be:

  • For substantially the same duration as the original Booking;
  • According to the Host’s approval;
  • Confirmed prior to the original Start Time;
  • Rescheduled for a time within 90 days of the original Start Time; and
  • Only rescheduled once.

Rescheduled Bookings are non-refundable once confirmed. Any successive rescheduling attempts or failure to successfully reschedule a Booking within the conditions above will result in a cancellation of the Booking, subject to the Cancellation Fees or Fines identified in this Policy, depending on the initiating party. Rescheduling by Hosts may result in additional Mill on Main Service Fees.

Right to Amend

We may amend or modify this Services Agreement at any time by posting the modified Services Agreement on our website, sending you a copy via email, or otherwise communicating the amendment to you via email. Subject to local Laws, your continued use of the Space or Services after we amend or modify this Services Agreement constitutes your consent to the revised Services Agreement. If you do not agree to the revised Services Agreement, you must close your Account by contacting us via the contact form.

In the event of an amendment, we will notify you of the proposed amendment, stating the reason and the specific scope, in text form (e-mail to the address registered with your account) or announce it within the Services offered in a suitable manner. The changes are considered approved if you do not object to them in writing (e-mail to info@millonmain.com is sufficient) or decline them when presented within the Services offered. We will specifically draw your attention to this consequence in the notification. The objection must be received by us within one (1) month after receipt of the notification. If you exercise the right to object, the change request will be deemed rejected. The contract will be continued without the proposed changes.

Provided that you exercise your right of objection, we are entitled to terminate this Services Agreement extraordinarily via e-mail to the address registered with your account and remove your account access to the Services offered.

Force Majeure; Cancellations

Mill on Main is not responsible or liable for nonperformance caused by telecommunications failures, nonperformance of Vendors, fires, pandemics, epidemics, or other acts of nature, strife or acts of political discord, or other events outside its reasonable control (each a “Force Majeure”). Cancellations of Bookings, whether with or without cause, or caused by events outside of your reasonable control, are subject to our Cancellation and Refund Policy. Please review it carefully before Booking a Space or Vendor Service.
